1. Acceptance of Terms
By accessing or using ERPrme ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must not use the Service.
2. Description of Service
ERPrme is a B2B SaaS platform for factory operations management. The Service provides tools for order lifecycle management, gate pass and weighbridge operations, inventory tracking, production monitoring, laboratory quality control, delivery management, lot management, staff and attendance tracking, machine monitoring, reporting, and AI-powered operational insights.
3. Account Registration & Security
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must immediately notify us of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- Organization administrators are responsible for managing user access and role-based permissions within their organization.
4. Subscription & Billing
Access to certain features may require a paid subscription plan. Plan tiers determine usage limits including the number of factories, users, AI queries, and available modules.
- Subscription fees are billed according to the selected plan period.
- Overdue accounts may be subject to feature restrictions or suspension.
- Plan changes take effect at the start of the next billing cycle unless otherwise specified.
- We reserve the right to modify pricing with reasonable advance notice.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to other accounts, systems, or data
- Reverse engineer, decompile, or disassemble any part of the Service
- Upload malicious code, viruses, or harmful content
- Resell, sublicense, or redistribute the Service without written permission
- Use the AI assistant to generate content that is harmful, misleading, or violates third-party rights
- Exceed rate limits or abuse API endpoints
6. Data Ownership & Licensing
6.1 Your Data
You retain ownership of all operational data you input into ERPrme (orders, inventory records, production data, lab results, etc.). We do not claim ownership of your data and will not use it for purposes other than providing and improving the Service.
6.2 Our Intellectual Property
The Service, including its design, code, features, branding, and documentation, is owned by ERPrme and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription term.
7. AI Assistant
The ERPrme AI assistant provides operational insights based on your organization's data. AI-generated responses are for informational purposes and should not be treated as professional advice. We do not guarantee the accuracy, completeness, or suitability of AI outputs. Usage of the AI assistant is subject to plan-tier limits.
8. Availability & Support
- We aim for high availability but do not guarantee uninterrupted access.
- Planned maintenance will be communicated in advance where possible.
- Support response times and channels depend on your subscription plan.
- We may modify, update, or discontinue features with reasonable notice.
9. Limitation of Liability
To the maximum extent permitted by law, ERPrme and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless ERPrme, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
- You may terminate your account at any time through your account settings.
- We may suspend or terminate your access for violation of these Terms.
- Upon termination, your right to use the Service ceases immediately.
- Data retention after termination is governed by our Privacy Policy.
- Provisions that by their nature should survive termination will remain in effect.
12. Third-Party Services
The Service may integrate with or rely on third-party services (e.g., Supabase for infrastructure, OpenAI for AI features, Vercel for hosting). Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or practices.
13. Modifications to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
14. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
